Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MetconIQ Pte. Ltd. ("MetconIQ", "we", "us", or "our"), a company incorporated in Singapore on 13 August 2026 (UEN 202636948M) and the operator of the MetconIQ platform, governing your access to and use of the MetconIQ platform, mobile application, and related services (collectively, the "Service").

By registering for an account, clicking "I Agree", or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

If you are using the Service on behalf of an organisation (such as a functional training gym or fitness studio), you represent and warrant that you have authority to bind that organisation to these Terms.

MetconIQ is a hybrid training management platform designed for functional fitness communities, including functional training, conditioning, and related disciplines. The Service provides:

• AI-powered workout programme generation and adaptive planning for coaches and gym owners
• Daily workout release and member score logging
• Performance analytics, ACWR workload monitoring, and readiness tracking
• AI-generated personalised weekly performance insights (Elite plan)
• Gym management tools including member administration and class programming
• Communication and social features between members and coaches

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and we shall not be liable to you or any third party for doing so.

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use at legal@metconiq.app
• Ensuring your registration information remains accurate and up to date

You must be at least 18 years of age to create an account. By registering, you represent that you meet this requirement. Accounts are personal and may not be transferred or shared.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are associated with fraudulent activity.

MetconIQ offers plans for individual athletes and plans for gyms.

Athlete plans:

• Free — Basic access for unaffiliated athletes; limited features
• Pro — Enhanced features for affiliated and unaffiliated athletes
• Elite — Full access including AI weekly performance insights and advanced analytics
• Box — Assigned automatically, at no charge, to any athlete who is a member of a gym on the platform, for as long as that membership lasts. It is not sold separately.

Gym plans, purchased by the gym owner and priced by the number of athlete seats:

• Solo — up to 10 athletes
• Starter Box — up to 50 athletes
• Growth Box — up to 150 athletes
• Enterprise — up to 300 athletes

Additional athlete seats may be purchased in blocks of 10 where the plan allows. Current prices are shown on the pricing page at checkout.

Where a free trial is offered on a Pro or Elite subscription, it is a limited-time promotion granted once per account, and may be withdrawn for new subscriptions at any time without affecting a trial already started. Unless you cancel before the trial ends, the subscription converts to a paid subscription and the payment method on file is charged. Gym plans do not include a free trial. Any AI plan-generation allowance included with a plan beyond its listed features is promotional and may be changed or withdrawn.

Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are exclusive of applicable taxes, which will be added where required by law. Payments are processed through our third-party payment provider; we do not store your full payment card details.

Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. Refunds are not provided for partial billing periods except where required by applicable law.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right
• Upload or transmit any content that is unlawful, defamatory, harassing, or harmful
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Use automated scripts, bots, or scrapers to extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell or sublicense access to the Service without our written consent
• Upload false performance data or manipulate leaderboard rankings

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account and reporting to law enforcement where appropriate.

The Service, including all software, algorithms, designs, text, graphics, logos, and AI models, is owned by or licensed to MetconIQ Pte. Ltd. and is protected by intellectual property laws worldwide.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal or internal business purposes in accordance with these Terms. No rights are granted beyond this limited licence.

You retain ownership of any content you submit to the Service (such as workout scores, notes, or profile information). By submitting such content, you grant MetconIQ a worldwide, royalty-free, non-exclusive licence to use, store, process, and display that content solely for the purpose of operating and improving the Service.

The Service includes AI-powered features such as workout programme generation, adaptive rescaling, and personalised weekly performance insights. All AI-generated content produced by the Service is:

• Generated using large language models and trained on sports science and performance data
• Intended for informational purposes only and does not constitute medical or clinical advice
• Subject to the limitations of AI technology and may not always be accurate or appropriate
• Reviewed and curated by MetconIQ but not guaranteed to be error-free

All AI-generated content produced through the Service is owned by MetconIQ Pte. Ltd. and protected under applicable intellectual property law. You may use such content within the Service for your personal training and coaching purposes but may not reproduce, distribute, or commercialise it without our prior written consent.

You should always exercise independent judgement before following any AI-generated training recommendations. Consult a qualified medical professional or coach before beginning any new training programme.

We collect and process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to such collection and processing.

Health and fitness data you submit (including workout scores, readiness check-ins, body weight, and injury information) is treated as sensitive data. We implement appropriate technical and organisational measures to protect your data.

Aggregated, anonymised data may be used to improve the Service, train AI models, and generate platform-wide analytics. Individual performance data is never sold to third parties.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MetconIQ does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or suitability of any content, including AI-generated content, for any particular purpose.

The Service is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified health provider with any questions regarding a medical condition or fitness programme. Training at high intensity carries inherent risks; you assume full responsibility for your own physical wellbeing.

HIGH-INTENSITY FUNCTIONAL TRAINING — INCLUDING WEIGHTLIFTING, GYMNASTICS MOVEMENTS, AND METABOLIC CONDITIONING — CARRIES INHERENT RISKS, INCLUDING SERIOUS BODILY INJURY, PERMANENT DISABILITY, AND DEATH. YOU ACKNOWLEDGE AND UNDERSTAND THESE RISKS.

BY USING THE SERVICE, YOU REPRESENT THAT YOU ARE PHYSICALLY ABLE TO PARTICIPATE IN HIGH-INTENSITY TRAINING AND THAT YOU HAVE CONSULTED, OR HAVE HAD THE OPPORTUNITY TO CONSULT, A QUALIFIED PHYSICIAN REGARDING YOUR FITNESS TO TRAIN.

YOU VOLUNTARILY AND KNOWINGLY ASSUME ALL RISKS ARISING FROM ANY TRAINING ACTIVITY UNDERTAKEN IN CONNECTION WITH THE SERVICE, WHETHER BASED ON AI-GENERATED PROGRAMMING, GYM PROGRAMMING, OR YOUR OWN MODIFICATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE AND FOREVER DISCHARGE METCONIQ AND ITS PERSONNEL FROM ANY AND ALL CLAIMS, LIABILITIES, AND CAUSES OF ACTION FOR PERSONAL INJURY, ILLNESS, OR DEATH ARISING FROM YOUR TRAINING ACTIVITIES.

AI-generated programming is informational only. MetconIQ does not supervise your workout execution and is not your coach, trainer, or medical provider. Nothing in the Service constitutes medical advice or clinical supervision.

You agree to indemnify, defend, and hold harmless MetconIQ and its personnel from and against any third-party claims, damages, losses, and reasonable legal costs arising out of or related to: (a) your breach of these Terms; (b) content you submit to the Service; (c) your use or misuse of the Service; or (d) your violation of any law or third-party right.

If you operate a gym or fitness facility through the Service (as a gym owner or coach, on any gym plan), you additionally agree to indemnify and hold harmless MetconIQ against any claims arising from the operation of your gym, your coaching and programming decisions, your modification or delivery of workouts to your members, and your management of athletes through the Service.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METCONIQ PTE. LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO METCONIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR SGD 100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules for the time being in force.

The seat of arbitration shall be Singapore. The language of arbitration shall be English. The award of the arbitral tribunal shall be final and binding on both parties.

You may stop using the Service and close your account at any time from Account Settings, where you can delete your account and personal data directly. If you own a gym, you must first cancel your gym subscription, or contact us at legal@metconiq.app to hand the gym over to another owner, because other members depend on that gym remaining administered. If you cannot sign in, contact us at legal@metconiq.app.

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or where required by law, and on reasonable notice if we discontinue the Service.

Upon termination: your right to access the Service ends; fees accrued before termination remain payable; and prepaid fees are non-refundable except as required by applicable law.

Sections 6 (Intellectual Property), 7 (AI-Generated Content), 9 (Disclaimers), 10 (Assumption of Risk & Release), 11 (Indemnification), 12 (Limitation of Liability), and 13 (Governing Law & Dispute Resolution) survive termination.

We may revise these Terms from time to time. When we make material changes, we will notify you via the email address associated with your account and/or by posting a notice within the Service. The "Version" and "Effective" date at the top of this document will be updated accordingly.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue using the Service and close your account.

• Severability — if any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect
• Entire agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and MetconIQ regarding the Service
• Assignment — you may not assign these Terms; MetconIQ may assign them, including to a successor entity upon incorporation, merger, or reorganisation
• No waiver — our failure to enforce any provision is not a waiver of our right to enforce it later
• Force majeure — we are not liable for delay or failure caused by events beyond our reasonable control
• No third-party beneficiaries — these Terms do not confer rights on any third party
